John S. Fischer
Senior Managing Director
John S. Fischer joined Dynasty in February 2013. With 30 years of
legal, management, turn-around and corporate development experience
at both major corporations and emerging growth companies in the
United States and abroad, Mr. Fischer specializes in structuring,
negotiating and closing complex financial and M&A transactions. He
has negotiated and closed acquisitions, and related financings, with
a total value of more than $12 billion. Mr. Fischer is also an
expert in corporate governance matters, having served both as a
member of, and adviser to, numerous boards of directors. Mr.
Fischer’s combination of extensive legal and business experience has
produced a strong track record of partnering with diverse functional
teams to develop and implement creative solutions to complicated
commercial issues.
From November 2011 to October 2012, Mr. Fischer served as Interim
President, CEO and a board member of The Berry Company, LLC, one of
the largest directory publishing and local search firms in the
United States, with annual revenues of $380 million and more than
1,000 employees. Mr. Fischer was recruited to this position by The
Berry Company’s senior secured lenders upon its emergence from
restructuring. While with The Berry Company, Mr. Fischer led an
aggressive turn-around strategy focused on expanding the company's
digital product portfolio to drive revenue performance. Under his
leadership, the Berry Company exceeded EBITDA targets and
rationalized its cost structure, with SG&A declining 15%
year-on-year. Mr. Fischer served as a consultant to The Berry
Company’s board from October 2012 to February 2013.
From August 2006 to November 2011, Mr. Fischer served as General
Counsel and Secretary of Local Insight Media Holdings, Inc., the
predecessor of The Berry Company. Local Insight Media, which had
revenues of approximately $700 million, was a portfolio company of
Welsh, Carson, Anderson & Stowe, a major New York-based private
equity firm. He was recruited to this position by Welsh, Carson
based on their prior working relationship. While with Local Insight
Media, he structured and closed five roll-up acquisitions totaling
approximately $2 billion, as well as numerous debt and equity
financings. He also led the company through a complicated
restructuring process that resulted in the consensual elimination of
more than $1 billion of debt in a transaction that was named one of
the most successful restructurings of 2011 by Turnarounds and
Workouts magazine.
From December 2004 to May 2006, Mr. Fischer served as Vice
President, Deputy General Counsel at Dex Media, Inc., a NYSE-listed
company controlled by Welsh, Carson and The Carlyle Group. He was a
member of the senior team that negotiated the sale of Dex Media to
R.H. Donnelley Corporation for $9.5 billion. Prior thereto, Mr.
Fischer was a partner of Logica Consulting (formerly the DDV Group),
a pan-European management consultancy focused on the
telecommunications sector. Based in Brussels, Belgium for 5-1/2
years, Mr. Fischer managed projects (including acquisitions,
strategic investments and wireless license applications) in 16
different countries on behalf of major US, European and Japanese
companies. Mr. Fischer’s experience also includes serving as General
Counsel of LCC International, Inc., one of the world's leading
wireless communications engineering companies. While with LCC, Mr.
Fischer negotiated that company’s equity participation in mobile
consortia in Europe, Latin America and Asia. Prior thereto, he
engaged in private law practice with prominent New York and Tokyo
law firms and served as Assistant General Counsel at a publicly
owned high-tech company.
Mr. Fischer holds a BA degree from Stanford University (Phi Beta
Kappa) and JD and MBA degrees from the University of California at
Los Angeles. |
