David
Englander joined Dynasty as a Managing Director in January 2006
after serving as senior counsel to Akin Gump Strauss Hauer & Feld,
one of the country's foremost law firms. At Akin since 2000, David
participated as lead attorney on various M&A and securities
transactions. He also led the development and administration of that
firm's knowledge management program and continuing education and
training of associates, and was responsible for authoring the firm's
clients communications regarding M&A matters and securities laws
changes resulting from the passing of Sarbanes Oxley. Representing a
variety of clients including Fortune 500 corporations, private
equity funds, middle market public companies and privately held
companies during his 25 year legal career, David has handled M&A
transactions in a vast array of industries, including gaming,
Internet technologies, alternative energy, consumer brands, chemical
manufacturing and real estate, and has significant expertise in
private M&A transactions and leveraged buyouts. David has also
worked as a senior knowledge management advisor at the New York
offices of the international law firms of White and Case and
McDermott Will & Emery from 2007 to June 2008.
In
addition, he has regularly advised boards of directors and
management on corporate governance and has lectured on Sarbanes
Oxley since its inception. His extensive experience in private
equity spans the range of the investment cycle -- representing
venture capital funds in their formation, in their investments in
both public and private companies, and in their exits from these
investments. David has closed more than 100 transactions valued in
excess of $2 billion in the aggregate. David has also represented
numerous start-up venture entities in connection with their
formation and financing transactions. In particular, he has broad
experience in transactions involving content, syndication and other
licensing arrangements. In addition, has provided counsel to growing
portfolio companies in the mergers and acquisition transactions that
have helped them to become leaders in their industry sectors. David
also has extensive experience in corporate finance and securities
transactions. He has represented both issuers and
underwriters/placement agents in public offerings and private
placements. Offerings in which he has been involved range from
traditional offerings of equity and debt (including initial public
offerings, secondary offerings, the establishment of medium-term
note programs and exchange offers) to offerings of structured
finance products and hybrid securities.
He has represented both issuers and
underwriters/placement agents in connection with global equity
offerings, debt and equity offerings under SEC Rule 144A, and
offshore offerings under SEC Regulation S. He has represented
foreign registrants listing in the United States and has advised
foreign issuers in connection with the implications under the U.S.
securities laws of dual listings, rights issues and
multi-jurisdictional tender offers and has advised on the
establishment of stock-based compensation plans for employees of
U.S. subsidiaries of such issuers.
With his deep understanding of the
securities laws, David brings practical solutions to client issues
that arise with respect to the establishment of corporate compliance
programs, and compliance with corporate governance standards under
the securities laws and stock exchange rules. He has also advised
companies in connection with SEC and other U.S. regulatory
investigations David is a graduate of the Columbia School of Law,
holds a BS from Cornell University and is admitted to practice in
the State of New York. |
